乙方：
根據(jù)平等自愿，互惠互利的原則，雙方協(xié)商經(jīng)銷(xiāo)協(xié)議如下：
一、甲方授權(quán)乙方在 經(jīng)銷(xiāo)萊珂服飾。
二、甲方以商品全國(guó)統(tǒng)一零售價(jià)的4.5折作為乙方結(jié)算價(jià)，并開(kāi)具增值稅發(fā)票。運(yùn)費(fèi)由乙方負(fù)擔(dān)，甲方代辦運(yùn)輸手續(xù)。本市內(nèi)運(yùn)輸由甲方承擔(dān)。
三、乙方自行看樣定貨，發(fā)貨后不作退換貨處理。如有質(zhì)量問(wèn)題，貨到三天內(nèi)通知甲方，并發(fā)回給甲方鑒定，過(guò)期不再處理。
四、乙方在該地區(qū)經(jīng)銷(xiāo)期間，應(yīng)維護(hù)甲方的品牌形象，不得損害甲方的利益，做好優(yōu)質(zhì)服務(wù)、售后服務(wù)工作。
五、甲方授權(quán)期限為半年，經(jīng)甲方對(duì)乙方銷(xiāo)售業(yè)績(jī)考核，再協(xié)商制定續(xù)簽手續(xù)，或轉(zhuǎn)為連鎖經(jīng)營(yíng)點(diǎn)。
六、如有下列情況，甲方不需經(jīng)乙方同意，可以終止本協(xié)議，并且由乙方自負(fù)一切責(zé)任：
1、有違反本協(xié)議之事的行為。
2、不能及時(shí)給付貨款。
3、提供暢銷(xiāo)產(chǎn)品，供同業(yè)仿造。
4、對(duì)外促銷(xiāo)等廣告，未經(jīng)甲方事先同意而實(shí)施。
5、乙方違反以上條例，經(jīng)口頭勸告無(wú)效，再發(fā)書(shū)面通知限期改正，如還不思改過(guò)，經(jīng)甲方信函通知乙方終止本協(xié)議。
七、協(xié)議期滿，自動(dòng)終止雙方義務(wù)。
八、協(xié)議期間，如有異議，雙方協(xié)商解決。如雙方協(xié)商不成可在簽約地點(diǎn)處所管轄法院提出訴訟。

鑒于國(guó)際貿(mào)易發(fā)展有限公司，以下簡(jiǎn)稱(chēng)：賣(mài)方，同意向a進(jìn)出口公司，以下簡(jiǎn)稱(chēng)：買(mǎi)方，根據(jù)所訂立的條款，出售以下貨物：

生效：effectiveness:
1) 本合同一經(jīng)雙方簽字后，立即生效。
this contract shall become effective immediately after being signed by thetwo parties concerned.
2)本合同用中英文書(shū)寫(xiě)就，兩個(gè)文本具有同等效力。如中英不完全對(duì)等，以英文為準(zhǔn)。
this contract is written in english and chinese, both versions having thesame force. where there is not complete equivalence between the two versions theenglish version shall prevail.
3)本合同正本兩份，雙方各執(zhí)一份。
this contract is written in two originals, one of which is held by eachparty.
