　　(A) 20__年3月12日，             與           就            事宜達(dá)成一致意見，簽署了《品牌授權(quán)協(xié)議》（以下稱“原協(xié)議”），協(xié)議有效期間自20__年1月1日起至20__年12月31日止；

　　(C) 多次向催討未付款項(xiàng)，結(jié)合自身對(duì)授權(quán)品牌的實(shí)際使用情況，請(qǐng)求從未付款項(xiàng)中減免部分授權(quán)使用費(fèi)。

　　has contacted Camsing many times to collect remaining payments, while, considering about its actual application of merchandise license, requests for a deduction from the unpaid amounts.

　　故而，雙方經(jīng)友好協(xié)商對(duì)剩余款項(xiàng)的支付事宜達(dá)成如下補(bǔ)充協(xié)議：

　　THEREFORE, both Parties, through amicable negotiation, agree upon the payment of remaining unpaid USD $245,000 as following:

　　1.        同意免除自20__年1月1日起至20__年12月31日的授權(quán)使用費(fèi)81,666美金；減免之后，Camsing應(yīng)付的款項(xiàng)為163,334美金（計(jì)算方式：245,000 -81,666=163,334）。同意，按本協(xié)議約定支付減免后的授權(quán)使用費(fèi)163,334美金后，不再向主張任何費(fèi)用，包括但不限于授權(quán)使用費(fèi)、違約金等。

　　4.       應(yīng)嚴(yán)格按照分期付款計(jì)劃執(zhí)行，如有一期逾期支付則視為違約，屆時(shí)剩余應(yīng)付款項(xiàng)的支付期限立即到期，并且原先減免的20__年度81,666美金的授權(quán)使用費(fèi)不再減免，將一同并入應(yīng)付款項(xiàng)由立即一次性全額支付，同時(shí)，還應(yīng)按未付款項(xiàng)總金額每日萬分之五的標(biāo)準(zhǔn)向支付逾期付款違約金。

　　5.        法律適用及爭議解決：本協(xié)議適用中國法律。凡因本協(xié)議引起的或與本協(xié)議有關(guān)的任何爭議，均應(yīng)提交至深圳國際仲裁院（SCIA）按照其仲裁規(guī)則進(jìn)行仲裁，屆時(shí)敗訴方應(yīng)承擔(dān)對(duì)方為解決本爭議而產(chǎn)生的一切合理費(fèi)用，包括但不限于仲裁費(fèi)、律師費(fèi)、差旅費(fèi)、評(píng)估費(fèi)、調(diào)查費(fèi)、鑒定費(fèi)等相關(guān)費(fèi)用。

　　Applicable Law and Dispute Resolution: This Agreement shall be governed by the laws of China. Any dispute arising from or in connection with this Agreement shall be submitted to Shenzhen Court of International Arbitration (SCIA) for arbitration according to SCIA’s Arbitration Rules, and the losing party shall bear all reasonable ges of the other party concerning dispute resolution, including but not limited to arbitration fees, lawyer’s fees, business trips costs, evaluatioges, investigation fees, appraisal costs, etc.);

　　6.        本協(xié)議生效后，即成為原協(xié)議不可分割的組成部分，與原協(xié)議具有同等法律效力。除本協(xié)議對(duì)于剩余應(yīng)付款項(xiàng)的約定外，原協(xié)議的其余部分應(yīng)完全繼續(xù)有效。如本協(xié)議與原協(xié)議發(fā)生沖突時(shí)，以本協(xié)議為準(zhǔn)。

　　This Agreement, after its entry into force, becomes an integral part of the Initial Agreement and has the same legal effect. Except for the provisions about the remaining unpaid payment stipulated herein, other provisions of the original agreement shall remain in full effect. In case of any discrepancy, this agreement shall prevail.

　　7.        本協(xié)議為中英文版本，如有不符，以中文版本為準(zhǔn)。

　　This Agreement is written in Chinese and English. In case of any discrepancy, the Chinese version shall prevail.

　　8. 本協(xié)議一式貳份，經(jīng)雙方蓋章及代表人簽字后生效，雙方各執(zhí)壹份，具有同等法律效力。

　　一、 雇傭期限

　　二、 雇傭內(nèi)容及工作時(shí)間

　　2.1 甲方根據(jù)工作需要，安排乙方完成以下內(nèi)容的工作任務(wù)：

　　2.2 工作時(shí)間：乙方每日工作時(shí)間不超過9小時(shí)，平均每周工作不超過40小時(shí)，每周休息日為周日。甲方安排乙方延長工作時(shí)間，應(yīng)安排乙方同等時(shí)間補(bǔ)休或依法支付加班酬勞。

　　Party B works no more than 9 hours per day, no more than 54 hours per week; The Sunday is set as the official weekly rest days. Party A may extend Party’s B’s working hours on the basis of mutual agreement, and party B shall get corresponding deferred holidays or paid for the extended work hours in accordance with relevant laws and regulations.

　　三、 報(bào)酬及其他福利

　　ⅢRemuneration and other welfare benefits

　　3.1 乙方的報(bào)酬為稅前6500元/月，大寫: 陸仟伍佰元

　　乙方在試用期期間的報(bào)酬為稅前5000元/月，大寫 :伍仟元

　　甲方將每天給予乙方20元人民幣，作為鑒證費(fèi)補(bǔ)助。

　　3.2 甲方應(yīng)于每月8號(hào)以貨幣或轉(zhuǎn)帳形式足額支付乙方上述報(bào)酬。如遇節(jié)假日或休息日，應(yīng)提前到最近的工作日支付，如因特殊原因延期支付報(bào)酬的，甲方應(yīng)在五個(gè)工作日內(nèi)向乙方說明原因。

　　Party A shall pay salary to Party B before the 8th day of every month in the form of cash or bank-transfer. If the 8th day of the month falls in the weekend or holiday, the payment shall be brought forward to the nearest weekday. Party A shall inform Party B and explain the detailed reason within 5 work days in case Party A fails to pay the salary due to special reasons.

　　3.3 甲方可根據(jù)生產(chǎn)經(jīng)營的狀況或乙方任務(wù)量和工作表現(xiàn)，適時(shí)調(diào)整乙方的報(bào)酬。

　　Party A can adjust Party B’s salary according to its operating conditions, Party B’s workload and performance.

　　3.4 當(dāng)乙方的工作任務(wù)發(fā)生變化時(shí)，甲方可按規(guī)定調(diào)整其相應(yīng)的報(bào)酬。乙方接受新的工作任務(wù)后，即視作接受甲方按照該工作任務(wù)重新確定的報(bào)酬。

　　Party B’s labor remuneration will be adjusted in case Party A adjusts Party B’s job responsibilities. Accepting thenew position is regarded as accepting the adjusted salary.

　　3.5 乙方應(yīng)遵守國家及地方的稅法制度，自行繳納其個(gè)人收入的個(gè)人所得稅，甲方無義務(wù)為其代繳。

　　Party B shall pay personal income tax voluntarily according to the state’s tax law. Party A doesn’t shoulder the responsibility to withhold and remit taxes for Party B.

　　3.6若病假連續(xù)超過三天，公司支付三天基本工資的一半。超過三天的部分則按現(xiàn)行照法定病金支付。若病假持續(xù)，符合社會(huì)保障部法定病金的相關(guān)規(guī)定，則從病假的第一天起，公司只支付法定病金，所有的病假都應(yīng)有醫(yī)學(xué)證明。

　　Party B sick leave exceeds three days in one continuous period the Employer will pay at half your basic rate the first three days. Thereafter pay will be at the current rate of Statutory Sick Pay. Where periods of incapacity are linked, as laid down in DSS Statutory Sick Pay regulations, you will only receive Statutory Sick Pay at the current rate from the first day of incapacity.All leave due to sickness must be supported by a bona fide medical certificate.

　　四、 雇傭合同的解除和終止

　�、鬋ontract Cancellation and Termination

　　4.1 合同期滿雙方不再續(xù)簽或者雙方約定的合同終止條件出現(xiàn)時(shí)，雇傭合同即終止。

　　This contract shall be terminated once it expires and both parties do not extend the contract.

　　4.2 經(jīng)合同雙方當(dāng)事人協(xié)商一致，本合同可以解除。

　　The contract may be canceled based on both parties’ mutual negotiation.

　　4.3 乙方應(yīng)遵守中國的法律、法規(guī)及有關(guān)規(guī)定，乙方如違反上述規(guī)定，甲方有權(quán)即時(shí)解除合同；乙方因健康原因，經(jīng)醫(yī)生證明連續(xù)病休15工作日后仍不能繼續(xù)工作，甲方有權(quán)提前終止合同。

　　Party B should abide by China laws, decrees and related regulations and Party A’s working systems. During the duration, Party A is entitled to cancel the contract in case Party B violates China laws and decrees, and terminate the contract before expiration in case Party B cannotresume his or her work for health reasons after the medical certification of continuous sick rest for 15 working days.

　　4.4 乙方因歸國或其他私人原因未正常出勤且超過十天且未向甲方做出書面說明的，本合同自動(dòng)終止。 The contract will automatically terminate in case Party B is absent for over 10 days without written explanation due to homecoming or other private reasons.

　　4.5 乙方被證明無法完成本合同項(xiàng)下的工作任務(wù)，甲方有權(quán)隨時(shí)解除本合同。

　　In case Party B is proved to be not competent for the work under the contract, Party A is entitled to cancel the contract at any time.

　　4.6 乙方應(yīng)嚴(yán)格遵守甲方的工作規(guī)定以及規(guī)章制度，盡職盡責(zé)，否則，甲方有權(quán)隨時(shí)解除合同并追究因此而造成的經(jīng)濟(jì)損失，并有權(quán)對(duì)所造成的經(jīng)濟(jì)損失在乙方的報(bào)酬中作相應(yīng)扣除。

　　Party B should abide by Party A’s working systems, rules and regulations. Otherwise, Party A is entitled to cancel the contract and claim a corresponding compensation of any economic loss from Party B’s payment.

　　4.7 乙方有權(quán)提前30 日以書面形式通知甲方解除本合同，在試用期內(nèi)提前3日通知甲方即可解除。

　　Party B should inform Party A in written form 30 days in advance for canceling the contract, and 3 days in advance during the probation period.

　　五、其他事項(xiàng)

　　5.1 其他未盡事宜，雙方可參照甲方公司內(nèi)部的相關(guān)規(guī)章制度執(zhí)行。

　　5.2 甲乙雙方均應(yīng)遵守本合同之約定，任何一方違約，非違約方均有權(quán)要求違約方承擔(dān)相應(yīng)的損失。

　　四、 雇傭合同的解除和終止

　　4.1 合同期滿雙方不再續(xù)簽或者雙方約定的合同終止條件出現(xiàn)時(shí)，雇傭合同即終止。

During the duration, Party A is entitled to cancel the contract in case Party B violates China laws and decrees, and terminate the contract before expiration in case Party B cannot resume his or her work for health reasons after the medical certification of continuous sick rest for 15 working days.

　　4.4 乙方因歸國或其他私人原因未正常出勤且超過十天且未向甲方做出書面說明的，本合同自動(dòng)終止。 The contract will automatically terminate in case Party B is absent for over 10 days without written explanation due to homecoming or other private reasons.

　　4.5 乙方被證明無法完成本合同項(xiàng)下的工作任務(wù)，甲方有權(quán)隨時(shí)解除本合同。

　　In case Party B is proved to be not competent for the work under the contract, Party A is entitled to cancel the contract at any time.

　　4.6 乙方應(yīng)嚴(yán)格遵守甲方的工作規(guī)定以及規(guī)章制度，盡職盡責(zé)，否則，甲方有權(quán)隨時(shí)解除合同并追究因此而造成的經(jīng)濟(jì)損失，并有權(quán)對(duì)所造成的經(jīng)濟(jì)損失在乙方的報(bào)酬中作相應(yīng)扣除。

　　Party B should abide by Party A’s working systems, rules and regulations. Otherwise, Party A is entitled to cancel the contract and claim a corresponding compensation of any economic loss from Party B’s payment.

　　4.7 乙方有權(quán)提前30 日以書面形式通知甲方解除本合同，在試用期內(nèi)提前3日通知甲方即可解除。

　　After the probation, Party A shall provide Party B with a monthly housing allowance of RMB5,000.00. Party A shall provide the invoice of rent payment for reimbursement. The monthly date for reimbursement is on the 8th day of each month. If the 8th day of the month falls in the weekend or holiday, the payment shall be brought forward to the nearest weekday. Party A shall inform Party B and explain the detailed reason within 5 work days in case Party A fails to pay the salary due to special reasons.

　　3.4 當(dāng)乙方的工作任務(wù)發(fā)生變化時(shí)，甲方可按規(guī)定調(diào)整其相應(yīng)的報(bào)酬。乙方接受新的工作任務(wù)后，即視作接受甲方按照該工作任務(wù)重新確定的報(bào)酬。

　　Party B is entitled with all legal holidays in accordance with the state’s regulations, In addition, Party B enjoys a paid leave of 5 days each year.

　　四、 雇傭合同的解除和終止

　�、� Contract Cancellation and Termination

　　4.1 合同期滿雙方不再續(xù)簽或者雙方約定的合同終止條件出現(xiàn)時(shí)，雇傭合同即終止。

　　This contract shall be terminated once it expires and both parties do not extend the contract.

　　4.2 經(jīng)合同雙方當(dāng)事人協(xié)商一致，本合同可以解除。

　　The contract may be canceled based on both parties’ mutual negotiation.

　　4.3 乙方應(yīng)遵守中國的法律、法規(guī)及有關(guān)規(guī)定，乙方如違反上述規(guī)定，甲方有權(quán)即時(shí)解除合同；乙方因健康原因，經(jīng)醫(yī)生證明連續(xù)病休15工作日后仍不能繼續(xù)工作，甲方有權(quán)提前終止合同。

　　第五條 借款利率和計(jì)息 Article 5. Interest rate of loan and calculation

　　5.1借款利率。本合同項(xiàng)下借款利率根據(jù)國家有關(guān)規(guī)定，確定利率見 。遇利率調(diào)整時(shí)，借款期限在1年(含)以下的，執(zhí)行合同利率，不分段計(jì)息;借款期限在1年以上的，實(shí)行分段計(jì)息，從利率調(diào)整的次年1月1日開始，按相應(yīng)利率的檔次執(zhí)行新的利率;如借款人未按約定時(shí)間歸還借款本息或未按合同約定用途使用借款，貸款人將按國家規(guī)定對(duì)借款人計(jì)收罰息，罰息率見 。

　　5.1 Interest rate of loan: The interest rate under this Contract is specified in 36.5 in line with relevant rules. In case of change of interest rate, the interest rate stipulated in the Contract shall prevail for loans with a life of less than or equal to one year; For loans with a life exceeding one year, the interest shall be calculated on a multi-stage basis, i.e. From next Jan. 1st following the adjustment of interest rate, the new rate shall prevail. In case the Borrower fails to repay the principal and interest before the due date, or fails to use the loan for purposes as agreed in this Contract, the lender shall be entitled to collect default interest in line with relevant rules. The default interest rate is specified in 36.6.

　　5.2遇利率調(diào)整時(shí)，實(shí)行分段計(jì)息的，貸款人有權(quán)根據(jù)國家有關(guān)規(guī)定自行調(diào)整，不另行通知借款人。

　　5.2 In case of calculating interest on multi-stage basis due to adjustment of interest rate, the lender shall be entitled to adjust the interest rate on his own without further notice to the Borrower.

　　第六條 還款方式 Article 6 Type of Repayment of Loan

　　6.1借款人應(yīng)在貸款人開設(shè)帳戶，戶名和帳號(hào)見 36.7 ，并保證在每次還款日前足額存入當(dāng)期應(yīng)還款項(xiàng)的存款。借款人在此授權(quán)貸款人從借款人該帳戶中扣收借款本金、利息和可能發(fā)生的復(fù)利、罰息、違約金、保費(fèi)、損害賠償金及實(shí)現(xiàn)債權(quán)的費(fèi)用(含律師費(fèi)和訴訟費(fèi))。如該帳戶資產(chǎn)不足以歸還到期的貸款本息，貸款人有權(quán)從借款人在中國工商銀行任何分支機(jī)構(gòu)開立的任何帳戶劃收。

　　6.1 The Borrower should open an account with the Lender( The account name and account number are specified in 36.7.) and promise to deposit sufficient money for repayment before each due date. The Borrower hereby authorizes the Lender to collect , if any, compound interest, default interest, liquidated damage, premium, compensation and expenses arising from the realization of creditors right (including lawyers fee and court expense)in addition to due principal and interest of loan. In case the asset in this Account is not enough for repayment of due principal and interest, the Lender shall be entitled to collect from any Account opened by the Borrower with any branch of ICBC.

　　6.2貸款人與借款人雙方商定，自貸款發(fā)放次月起，借款人按月歸還貸款本息(一次性還本付息除外)，還款期數(shù)及還款方式見 36.8 。

　　6.2 The Borrower shall repay the principal and interest on a monthly basis (Except repaying principal and interest in a lump sum) from the second month following the issuing of loan , as agreed between the Borrower and Lender. The repayment tenors and type are specified in 36.8.

　　6.3借款期間遇利率調(diào)整，如執(zhí)行本合同5.1條實(shí)行分段計(jì)息的，對(duì)借款期限在1年以上的，應(yīng)從利率調(diào)整的次年1月1日開始根據(jù)未償還借款余額和剩余還款期數(shù)進(jìn)行調(diào)整，重新計(jì)算還款金額。

　　6.3 In case of multi-stage calculation of interest as specified in 5.1 due to adjustment of interest rate during the life of loan, the repayment amount for loans with a life exceeding one year shall be recalculated on the basis of balance of unpaid loan and the rest of repayment tenor from next Jan. 1st following the adjustment of interest rate.

　　6.4借款人提前歸還貸款須經(jīng)貸款人書面同意，，提前歸還部分的利息仍按本合同約定的利率和該部分實(shí)際使用天數(shù)計(jì)算。

　　6.4 Repayment of the loan ahead of schedule by the Borrower shall be subject to written consent from the Lender. The interest of prepaid amount should be calculated on the basis of rate specified in this Contract and actual days.
